Terms of Service.

1. Who we are

Arkana Web LLC (“Arkana Web,” “we,” “us,” or “our”) is a limited liability company organized under the laws of the State of Arkansas, USA. These Terms of Service (“Terms”) govern your access to and use of the website located at arkanaweb.co (the “Site”) and any services, deliverables, or subscriptions you purchase from us (collectively, the “Services”).

By using the Site or purchasing Services, you (“you,” “Client”) agree to these Terms. If you don’t agree, please don’t use the Site.

2. The Services

Arkana Web designs, builds, hosts, and maintains websites for small businesses. Specific project scope, deliverables, pricing, and timelines are set out in a separate Master Services Agreement (“MSA”) or Statement of Work (“SOW”) signed by both parties before work begins. In the event of a conflict between these Terms and a signed MSA/SOW, the signed agreement controls.

3. Pricing & payment

Current pricing is listed on our Services page. Prices are in U.S. dollars and do not include applicable taxes.

• Build fees are one-time and billed 50% upfront to begin design and 50% at launch. A signed MSA/SOW is required before work begins.
• Care plans are recurring subscriptions billed monthly or annually in advance. Annual plans are billed at ten (10) times the monthly rate, giving you effectively two months free.
• Payments are processed by Stripe, Inc. By purchasing, you also agree to Stripe’s terms. We do not store your full payment card details.
• Recurring charges renew automatically until cancelled. You may cancel at any time with fifteen (15) days’ notice. See Section 5.

4. Your responsibilities

To do our best work, we need timely, accurate input from you. You agree to:

• Provide content, feedback, credentials, and approvals within the timelines set in the MSA/SOW.
• Own or have all necessary rights to any text, images, logos, or other materials you supply. You warrant that your materials don’t infringe any third party’s intellectual property, privacy, or publicity rights.
• Not use the Services for anything unlawful, deceptive, or harmful, including sending spam, hosting malware, or violating export laws.

5. Cancellation & refunds

• Build fees are non-refundable once design work has begun, except as required by law. If you cancel a build before design has begun, we refund the 50% deposit less any incurred hard costs (stock, tools, third-party fees).
• Monthly care plans can be cancelled at any time with 15 days’ notice. Unused days in a paid month are refunded pro-rata.
• Annual care plans can be cancelled at any time. Unused months are refunded pro-rata based on the equivalent monthly rate.
• We may cancel and refund any engagement if we determine at our sole discretion that the working relationship isn’t a fit or violates these Terms.

6. Deliverables & ownership

On final payment, you own all custom-designed pages, custom content, and custom code we produce for your project. We retain ownership of our pre-existing tools, libraries, templates, and know-how, and grant you a perpetual license to use them as part of your site. We may reference the completed project in our portfolio and marketing unless you request otherwise in writing.

7. Third-party services

Your site may integrate with third-party platforms (for example, Google Workspace, Cloudflare, Stripe, Cal.com, or Calendly). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or actions of third-party services.

8. Security & incident response

We follow the baseline described on our Trust page. If your site is compromised through no fault of your own, we will notify you in writing within 24 hours of confirmation, provide a remediation plan within 48 hours, and share a post-mortem within seven (7) days.

9. Disclaimers

The Site and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Arkana Web disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, Arkana Web’s total aggregate liability arising out of or relating to these Terms or the Services is limited to the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim. In no event will Arkana Web be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.

11. Indemnification

You agree to defend, indemnify, and hold harmless Arkana Web from any third-party claims, damages, or expenses arising out of (a) content or materials you supply, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

12. Governing law & disputes

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Pulaski County, Arkansas, and both parties consent to that jurisdiction. Before filing suit, we’ll try in good faith to resolve any dispute through direct discussion for at least thirty (30) days.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we’ll update the effective date at the top of this page and, for material changes, notify active clients by email at least fifteen (15) days before the change takes effect. Continued use of the Services after the effective date means you accept the updated Terms.
